签约方分别称为甲方和乙方，合称为“各方”。

Individually called Party A and Party B respectively and/or the “Party” and together, called the “Parties”. 经过友好协商和在公平、平等的原则基础上，双方约定如下：

After friendly consultations and proceeding on principles of fairness and equality, the Parties have agreed the following:

一、 模具内容(包括材料) Mold Information（Including Materials） 模具名称： Name of mold: 材料： Materials:

三、模具开发周期及要求Mold Development Period & Requirements 1) 模具的开发周期/ Mold Development Period

首件样件完成时间：从接到订单到首件样品完成需要 天；

Time of finishing first product of mold: days from building time ARO (after receipt of order) to first POM (product of mode) sample pour;

开发时间：从首件样品到整个样件提交需要 天。

Development Time: days from first sample pour to sample submission. 2) 模具验收/Mold Inspection

产品从接到订单后 日内完成，模具必须符合技术要求。

The product shall completely fit the days from first days from building time ARO (after receipt of order) to first POM (product of mold) sample technical requirements.

3) 由于模具的开发周期和质量问题造成甲方项目延期，乙方将赔偿甲方的一切损失。

Party A’s project if delayed due to the work day and the quality of the mold, Party B should compensate Party A for all the losses.

四、 模具技术要求及质量要求 Technical and Quality Requirements

1) 模具材料应满足国标要求，制造的模具应满足强度、安全性、操作使用要求。

Mold material should meet national standard, the mold should meet strength, safety and operation requirements.

2) 使用寿命： 万次； Service time: times;

3) 制件符合质量要求且首次取样时，样品合格率须达到85%，模具交付时，制件合格率应达到100%。 Work pieces should meet quality requirements. During first sampling, sample passing rate should reach 85%. During mold delivery, passing rate should reach 100%.

4) 如因甲方设变必须及时通知乙方，乙方必须立即停止制作，并提供制作进度给甲方，经双方协商后如因甲方设变造成乙方损失，甲方应承担由此产生的费用。

Party A shall immediately inform Party B in case of any changes. Party B shall stop manufacturing promptly and provide schedule for Party A. By mutual consultation, if Party B suffers from any loss resulting from Party A’s changes, Party A shall bear the cost. 五、进度要求 Schedule

乙方在合同签订后三天内必须向甲方提供准确有效的模具制作计划，乙方应向甲方确认以下情况：

Party B shall provide Party A with accurate and effective mold manufacturing plan within 3days after signing the contract, Party B shall confirm the following conditions for Party A:

1) 在模具开发图纸设计完成之后，乙方应向甲方提交模具的开发图纸，由甲方人员进行审核； Party B shall design and submit mold developing drawing to Party A for examination. 2) 乙方按照甲方要求提供一份《模具开发进度表》并严格执行，乙方不得拖延时间；

Party B shall provide Party A with “Mold Developing Schedule” and do as it, time delay is prohibited. 3) 乙方在模具制造过程中，甲方将不定期对模具制造进度进行跟踪，乙方应配合甲方在模具加工过程中安排甲方进入制作场地考察。模具制造完成后进行的试模程序，乙方须通知甲方，试模成功后甲方将出具书面确认书；

During mold manufacturing, Party A will occasionally follow the tracks of mold manufacturing; Party B shall support and allow Party A to inspect at site. After manufacturing is completed, Party B shall notify Party A to test the mold and provide written confirmation letter after the mold is tested qualified.

4) 如果乙方模具制作出现工艺和其他的错误，导致模具无法验收合格而甲方又急需生产，乙方应先用现有的模具安排生产，同时再根据图纸和样板要求免费重新开模。

If Mold fails in test and Party A’s production is delayed caused by Party B’s process problem and other mistakes, Party B shall arrange production using existing mold, and meanwhile make a mold again for free according to drawing and samples.

六、模具的维护和售后服务 Mold Maintenance & After-sale Services

1) 正常使用寿命内的模具在生产过程中发生的损坏或磨损，相关的维修及保养等都由乙方负责。 If the mold is within the normal working life but damaged or worn during the production process, Party B should be responsible for the related repair and maintenance.

2) 乙方应建立模具履历表，对模具已使用的寿命、对模具的修改、维护和修理等情况及时登记造册，无论此种修改、维护和修理是否由甲方提出。如甲方要询问有关的模具履历，包含但不限于模具已使用的寿命记录、模具修改记录、维护记录，甲方可以随时到乙方处查询。

Party B shall make mold folder, to register mold use time, adjustment, maintenance and repair, whether it is required by Party A or not. In case Party A wants to check related mold folder, including but not limited to, mold use time, adjustment, maintenance and repair, Party A have the right to check it at Party B.

3) 乙方应按照甲方的要求，必要时提供支持和免费售后服务。 Party B shall provide after-sale services for free if Party A required. 七、模具费用的支付 Payment Terms

甲方在合同签订后一周内预付乙方模具款总额的30%，试模合格后支付20%，模具最终验收合格且经乙方出具《模具验收报告》后付清尾款50%。

Party A will pay 30% to Party B within one week after signing the contract, pay 20% after mold test and it is qualified, pay remaining 50% after receipt of mold and “mold inspection report”from Party B. 八、质量保证、延期交货和违约责任

Quality Assurance, Delayed Delivery, Liability for Breach of Contract

1) 如因乙方设计制造模具的质量问题造成模具的返修、损失和造成甲方的损失由乙方负责；

Party B shall bear the loss of mold rework, damage and Party A’s loss caused by Party B’s manufacturing quality problem;

2) 乙方如延期交货，每延迟一天乙方应支付甲方合同总额的千分之五作为违约金；

In case Party B delays delivery, Party B shall pay a penalty by 5‰ of total contract value each day; 3) 除经甲方允许，乙方不得将模具外发给第三方制作，如甲方发现此类事件，有权要求乙方退回已付款项，且乙方向甲方支付合同金额双倍的违约金；

Party B shall not ask any third party to manufacture the mold without Party A’s permission. If Party A discovers such kind of thing, Party A has the right to ask Party B to refund the money, and Party B shall pay Party A double contract amount as penalty.

4) 其他违约：乙方违约造成甲方损失时，乙方应该承担甲方的全部损失。

Other breach: In case Party B breaches the contract and causes loss to Party A, Party B shall bear all loss caused to Party A. 九、模具所有权 Ownership

1) 模具的所有权为甲方所有，甲方享有收回和处理的权利。乙方不得干涉。

Mold’s ownership belongs to Party A. Party A enjoys the right to taking back and dealing with the mold. Party B shall not interfere in such matter.

2) 未经甲方同意，乙方不得将此模具提供给第三者生产， 否则甲方有权要求乙方退还模具费并赔偿造成的损失。

Party B shall not provide the mold to any third party for production without Party A’s permission, otherwise, Party A has the right to ask Party B to refund the fees and compensate Party A’s loss. 十、 保密责任 Confidentiality

1) 未经甲方允许，乙方不得将甲方所提供的图纸及技术资料以口头、书面、出示和借用的方式转泄露给第三方。 如有发生信息泄露，甲方有权追究其法律责任。

Without the permission of Party A, Party B should not disclose the drawings and technical information which are provided by Party A in oral, written, showing and lending way to the third Party. If Party B revealed such information, Party A has the right to pursue Party B’s legal responsibility.

2) 当双方履行完该协议后，乙方必须归还甲方所提供的用于开发该模具的所有保密信息及其全部副本 （不论其是否是在计算机磁盘、光盘读取器、光盘、硬盘或软件中或硬拷贝载体上存储、保存或记录的）； 如果乙方退还上述保密信息及其全部副本为不可行，则应将其销毁，或者从计算机或其他电子系统中将其删除或抹除。

After the Parties fulfill the agreement, Party B should return to Party A all confidential information and all copies of developing the mould thereof whether or not the same are stored, maintained or recorded in computer disks, CD-ROM drives, CD-ROMs, hard disks or software or in hard copy format and, to the extent that it is not feasible to return the same, shall destroy such confidential information or cause the same to be deleted or erased from any computer or other electronic system. 十一、合同的变更与解除 Modification and Termination of Contract

1) 合同变更：甲方有权变更定作模具的数量、规格、质量或设计等，但必须在约定的交付模具时间前30天以书面形式通知乙方，并承担因此给乙方造成的增加的费用；

Modification: Party A has the right to modify mold quantity, specification, quality or design, but shall inform Party B in written form 30 days before their appointed delivery time; Party A shall be responsible for increased fees caused to Party B.

2) 甲方可随时解除合同，造成乙方损失的，将赔偿乙方的直接损失。

Party A may terminate the contract at any time, but shall compensate Party B for all direct losses caused thereby.

十二、不可抗力 Force Majeure

乙方因为不可抗力（包括战争、罢工、自然灾害等中国法律规定的不能预见、不能避免和不能克服的情形）而造成的供货延迟，甲方允许乙方免责。乙方应在不可抗力发生后24小时内以书面形式通知甲方，并且乙方仍有义务采取一切必要措施尽快交货。若不可抗拒力持续2周以上，甲方有权取消本合同。

If Party B delays delivery because of force majeure (including war, strike, natural disasters as well as other conditions can't foresee, avoid or overcome by provisions of Chinese law) Party A disclaims Party B’s responsibility. Party B the shall inform Party A of the force majeure within 24 hours after its occurrence in written form, and still have an obligation to take all necessary measures to deliver the mold as soon as possible. In case force majeure lasts 2 weeks or more, Party A has the right to cancel the contract. 十三、其他约定 Others

1) 本协议受中华人民共和国的法律法规管辖，并应依照中华人民共和国的法律法规解释。

The agreement shall be governed by, and interpreted in accordance with, the laws and regulations of the People’s Republic of China.

2)除非双方采用书面形式(信函，传真和电子邮件)，否则对本协议的任何修正均属无效。

Any amendments to this agreement shall not be valid unless made by the Parties in written form (letter, fax and email).

3) 本协议一式两份， 每份皆具有同等法律效力。

This agreement is made in two original copies, both of which are equally valid. 4)本协议在双方签订本协议之日立即生效。

This agreement shall take effect immediately upon the date of execution by the Parties.

5)凡涉及本协议或因本协议而发生的所有争执，都应通过友好协商解决。如果在书面要求协商的通知发出后的三十(30)天内不能解决，则该争执应提交乙方所在地有管辖权的进行裁决。

The disputes and all controversies of every kind and nature between the Parties arising out of or in connection with the agreement or the execution hereof shall be settled by friendly negotiation between the Parties. If no settlement can be reached within thirty (30) days after delivery of the written notice

requesting the said negotiation, such dispute or controversy shall be submitted a competent court located in the business place of Party A for judgment.

6) 当本协议中文文本与英文文本发生歧义时，应以中文文本为准。

The Chinese version of this agreement will prevail if there is any conflict between the Chinese version and English version of this agreement.

7) 本合同未尽事宜，由甲、乙双方协商一致后订立书面补充合同。

Any other issues unmentioned in this contract, both parties shall conclude a written supplementary contract by mutual consultation.
